By accessing or using the website at convertlab360.com (the "Website") or by engaging ConvertLab360 for any services, you ("Client", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.
These Terms apply to all visitors, users, and clients of ConvertLab360. For paid service engagements, a separate service agreement or statement of work may also apply. In the event of a conflict between these Terms and a signed service agreement, the service agreement prevails.
2. Services
ConvertLab360 provides performance marketing services including, but not limited to:
- Google Ads, Microsoft Ads, and Search Engine Marketing (SEM) management
- Meta Ads (Facebook & Instagram), TikTok Ads, and LinkedIn Ads management
- Conversion rate optimization (CRO) and website audit
- Google Analytics 4 (GA4) and Google Tag Manager (GTM) implementation
- Looker Studio reporting and attribution modeling
- Growth strategy and paid media consulting
The specific scope, deliverables, timeline, and pricing for each engagement are defined in a separate statement of work or service agreement executed between ConvertLab360 and the Client.
We reserve the right to decline any engagement at our discretion without providing a reason.
3. Website Use
You may use this Website for lawful purposes only. You agree not to:
- Use the Website in any way that violates applicable local, national, or international law or regulation
- Transmit any unsolicited or unauthorized advertising or promotional material
- Attempt to gain unauthorized access to any part of the Website or its related systems
- Use automated tools (bots, scrapers, crawlers) to extract content from the Website without our written consent
- Reproduce, duplicate, copy, or resell any part of the Website in contravention of these Terms
We reserve the right to restrict access to the Website for any user who violates these terms.
4. Intellectual Property
All content on this Website — including text, graphics, logos, images, and the compilation thereof — is the property of ConvertLab360 or its content suppliers and is protected by applicable copyright, trademark, and other intellectual property laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or commercially exploit any content from this Website without our prior written permission.
Client-owned materials: Any creative assets, ad copy, or strategic documents produced by ConvertLab360 specifically for a Client engagement become the Client's property upon full payment of all outstanding invoices, unless otherwise agreed in the service agreement.
ConvertLab360 methodology: Our proprietary processes, frameworks, templates, and internal tools remain the exclusive property of ConvertLab360 regardless of client engagement.
5. Client Obligations
To enable ConvertLab360 to deliver effective services, clients agree to:
- Provide accurate, complete, and timely information, access credentials, and materials required to perform the services
- Grant necessary access to advertising accounts, analytics platforms, and other tools specified in the service agreement
- Designate a primary point of contact with authority to make decisions and provide approvals
- Comply with the advertising platform policies of Google, Meta, TikTok, LinkedIn, and other platforms used in your campaigns
- Not engage in or instruct practices that violate applicable advertising policies, consumer protection laws, or platform terms
ConvertLab360 is not responsible for campaign performance issues arising from the Client's failure to fulfill these obligations.
6. Payment Terms
Payment terms are specified in individual service agreements. General terms unless otherwise agreed:
- Invoices are issued monthly in advance for retainer services
- Payment is due within 14 days of invoice date
- Late payments may incur interest at 1.5% per month on the outstanding balance
- ConvertLab360 reserves the right to pause or suspend services for accounts more than 30 days past due
- All fees are exclusive of applicable taxes (VAT, GST, etc.) which are the Client's responsibility
Ad spend budgets are separate from management fees and are billed directly by advertising platforms to the Client's payment method.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information received from the other party in connection with the services, including but not limited to business strategies, financial data, customer information, and campaign performance data.
ConvertLab360 will not disclose Client-specific campaign data to third parties without the Client's written consent, except where required by law or for the purpose of delivering the contracted services (e.g., sharing access with platform representatives for troubleshooting).
We may reference the existence of a client relationship and aggregate, anonymized results in case studies or marketing materials unless the Client requests otherwise in writing.
8. Disclaimers
The Website and its content are provided on an "as is" and "as available" basis without any warranties of any kind, express or implied.
No guarantee of results: Performance marketing involves inherent uncertainty. While ConvertLab360 employs best practices and data-driven methodologies, we do not guarantee specific revenue outcomes, ROAS targets, or lead volumes. Past results (including case studies on this Website) are not indicative of future performance.
Third-party platforms: We are not responsible for changes to advertising platform algorithms, policies, or pricing that may affect campaign performance. We will make reasonable efforts to adapt strategies to such changes.
Website accuracy: We strive to keep the information on this Website accurate and up to date, but make no representations or warranties regarding the completeness, accuracy, or reliability of any content.
9. Limitation of Liability
To the fullest extent permitted by applicable law, ConvertLab360 and its directors, employees, and contractors shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages arising from advertising platform policy changes, account suspensions, or force majeure events
- Any damages exceeding the total fees paid by the Client to ConvertLab360 in the three months preceding the claim
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above may not apply to you.
10. Termination
Either party may terminate a service engagement with 30 days' written notice, unless a different notice period is specified in the service agreement.
ConvertLab360 may terminate immediately and without notice if the Client:
- Fails to pay outstanding invoices after a 15-day grace period
- Engages in fraudulent, illegal, or unethical conduct
- Violates advertising platform policies in a manner that puts ConvertLab360's partner status at risk
Upon termination, the Client retains ownership of all ad accounts, data, and assets. ConvertLab360 will provide a reasonable transition period and deliver any outstanding reports or documentation.
11. Changes to Terms
We reserve the right to modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Continued use of the Website or our services after changes take effect constitutes your acceptance of the revised Terms.
For active service clients, material changes to Terms will be communicated via email at least 14 days before they take effect.
